Regarding the intention to merge ALTEN POLSKA Sp. z o.o. with its registered office in Warsaw (00-844) at ul. Grzybowska 87, entered in the register of entrepreneurs maintained by the District Court for the capital city of Warsaw in Warsaw, 13th Commercial Division of the National Court Register under KRS number 0000340221, NIP: 5213545223, REGON: 142074853, with a share capital of PLN 500,000.00 (hereinafter referred to as the Acquiring Company) with the companies ALTEN DELIVERY CENTER EASTERN EUROPE Sp. z o.o. with its registered office in Gliwice (44-109) at ul. Gustawa Eiffel’a 10, entered in the register of entrepreneurs maintained by the District Court in Gliwice, 10th Commercial Division of the National Court Register under KRS number 0000133577, NIP: 5481614740, REGON 070779658, with a share capital of PLN 550,000.00 (hereinafter referred to as the Acquired Company 1) and SOLWIT S.A. with its registered office in Gdańsk (80-298) at ul. Azymutalnej 11, entered in the register of entrepreneurs maintained by the District Court Gdańsk – North in Gdańsk, 7th Commercial Division of the National Court Register under KRS number 0000393016, NIP: 5842721091, REGON 221488370, with a share capital of PLN 455,647.60 fully paid up (hereinafter referred to as the Acquired Company 2), the management boards of the merging companies, acting pursuant to Article 498 et seq. of the Act of September 15, 2000 – Code of Commercial Companies, on October 21, 2024, agreed on the Merger Plan (hereinafter referred to as the Merger Plan).
In view of the above, the Management Board, pursuant to Article 500 § 2 and 21 ksh, hereby makes the Merger Plan available to the public free of charge.
